i-Express Fidelity Community Membership

This document is a contract between you and i-Express Fidelity community (hereinafter referred to as "i-Express Fidelity Community Membership" and contains the prevailing terms, conditions and regulations governing the i-Express Fidelity Community Membership program.

THE FOLLOWING TERMS AND CONDITIONS APPLY TO YOUR USE OF THE SERVICES PROVIDED HEREIN BY VISION MULTIMEDIA SDN BHD AND ITS SUBSIDIARIES. YOU SHALL BE DEEMED TO HAVE ACCEPTED THE TERMS AND CONDITIONS HEREIN AND SHALL BE BOUND BY THEM BY THE USE OF YOUR i-EXPRESS MEMBERSHIP WITHOUT LIMITATION OR QUALIFICATION.

THE I-EXPRESS FIDELITY COMMUNITY MEMBERSHIP PROGRAM IS DESIGN FOR ITS MEMBERS, SUBJECT TO THE TERMS OF THIS AGREEMENT. THE VALUE THAT ACCUMULATED WILL NOT BE PAID TO YOU IN CASH FORM. THERE IS NO CASH VALUE ASSOCIATED WITH THE MEMBERSHIP. VALUE IS RECORDED AT ACCOUNT LEVEL IN OUR SYSTEM.

Introduction

With i-Express Fidelity Community and with i-Express special arrangement with the Participating Strategic Partners, we want you to enjoy life and share our vision with you. Through this Lifestyle program, you would enjoy its value added program and lots of fun is coming your way. These Terms and Conditions are governed by both the operations and your participation in this i-Express Fidelity Community (hereinafter referred to as "the "Program""). The membership program that we provide described your expectation by being our member.

Vision Team Technology Sdn Bhd (751654-W) ( "Vision Team" ) intends to provide communications and multimedia (ICT) services to prospective members throughout Malaysia. Vision Multimedia Sdn Bhd (790684-X), VTT Broadcasting (MSC) Sdn Bhd (formerly known as VTT Resources Sdn Bhd) (770243-D) and Vision System Sdn Bhd (754171-V) are all under Vision Team Group.

VTT Broadcasting (MSC) Sdn Bhd (formerly known as VTT Resources Sdn Bhd) (770243-D) principle activities are focusing on research, design, development, commercialization, technical services and maintenance of Internet TV and I-Wish software. It is a MSC status company.

Vision Multimedia Sdn Bhd is a company registered in Malaysia under company registration number 790694-X whose business office is Suite 16-13a, Wisma UOA,II, 16th Floor, No 21, Jalan Pinang, 50450 Kuala Lumpur

i-Express Fidelity Community Membership Terms of Use

  1. Definitions
  2. In these Terms & Conditions :
    "i-Express Fidelity Community " means while "i-Express" is defined as the consumer rewards membership program run by Vision Multimedia Sdn Bhd.

    "Fidelity Community" refers to the i-Express Fidelity Community members.

    "Member or Members" is defined as Member(s) unless otherwise specified.

    "Members´ Account" is defined as i-Express Member's transactional record.

    "Gifts" or "Trip" are defined as the goods and/or services and/or vacation package offered to Member(s) in exchange for sufficient Fidelity value earned.

    ´Fidelity Value ´ means the value accumulating in members ´account for every purchase via our i-Mall.

    "i-Mall" means the platform which provided from the i-Express website. It is a platform for Members to purchase goods and services which supply by our partners.

    "Membership" means those arrangements by which a Member agrees to participate in the Program and receives Fidelity value by purchasing goods and services from Partners and so qualifies for Gifts under these Terms & Conditions.

    "Strategics Partners " are to those companies (and other persons) who supply qualifying goods and services or vacation package to i-Express.

    "Suppliers " means Gifts provider or company/persons that are engaged by i-Express to supply the Gifts.

    "Business Partners" are defined as Partners, Suppliers, service suppliers, contractors, vendors, agencies, agents or persons, which are appointed by i-Express for purposes of managing various aspects of the i-Express Fidelity Community.

    "We", "us", "our", "its", "The company" — are defined as i-Express.

  3. Membership
  4. Membership of i-Express Fidelity Community is free of charge. This Membership is only open to individuals who are 18 years old and above only.

    Vision Multimedia Sdn Bhd (790684-X) (VMSB) shall have the right, at its sole discretion, to modify, add or remove any terms or conditions of these Terms of Use without notice or liability to the Members. Any changes to these Terms of Use shall be effective immediately following the posting of such changes on the Site. The most recent version of these Terms of Use may always be found at http://www.vttv.tv. The Member agrees to review these Terms of Use from time to time and agree that any subsequent use by the Member of the i-Express Fidelity Community Membership following changes to these Terms of Use shall constitute his/her acceptance of all such changes. These Terms of Use were last modified on 30th April 2008. .

    Members shall provide current, accurate and complete information as required on a manual or online registration form (where information such as name, identification number, address, contact numbers, as well as other similar personal information has been requested) or through other communication with i-Express, and when a Member collect or redeem FV, the FV redeemed or earned will be updated into our record in the database of the details of the transaction on which those FV are collected or redeemed.

    Additionally, information about the Member may be obtained through various applications including the web or a poll/survey or by any other means that i-Express may introduce from time to time. In the instance where a Member successfully registered, i-Express shall treat that the Member is agreeable to its Terms & Conditions, upon the registration with i-Express.

    i-Express may refuse an application for Membership and reserves the right not to disclose the reasons for such refusal. It is a FREE membership that provided to its members . A Member must immediately notify i-Express of any change of address by updating their new address details via online. The details will be automatically change and updated onto our system. Member will be notified on the change of address via email on the changed details. Member(s) is encouraged to edit the aforesaid address by login into their account at http://www.vttv.tv.

    Members shall be responsible for maintaining the confidentiality of his/her username and password at all times and shall not reveal the same to any party at all time. The Member shall immediately change their username and password if the said username and password had been made known to any third party and/or any suspicion thereof. The Member shall be responsible for all transactions and access to the facilities or services using member username and password of any third party and the company shall not be held responsible for any prohibited and/or unauthorized use of the members´ account, facilities and goods or services provided by i-Express.

    The Members undertakes responsibility of his/her own changes of the Member´s information provided to the i-Express and/or has been updated via online from time to time. Failure by the Member to update i-Express of such changes shall be a waiver of the Member’s own rights, including but not limited to the right to be notified under this Agreement, as the case may be.

    The member shall not assign any of his rights or obligations under this Agreement to any other person whatsoever except with prior written approval of the Company. The Company may assign or novate this Agreement or any part thereof to anybody corporate which is a parent company, subsidiary or related company of the Company and consent for the abovementioned is hereby given by the member.

    The Member shall only use our facilities or services for lawful purposes. Transmission of any material in violation of any international, federal, state or local laws or regulations is prohibited. These include, but shall not be limited to copyright material, material legally judged to be threatening or obscene, pornographic, profane, or material protected by trade secrets. These also include links or any connection to such materials.

  5. Policy on Personal Data
  6. i-Express membership Loyalty Program respect the privacy of its Members. This is i-Express´ policy on personal information collected through the Program. It is part of the i-Express Membership Terms & Conditions, Members shall aware of these Terms & Conditions.

    Any of this information may be used by, and shared between i-Express and its Business Partners where necessary to operate the Program in order to provide Members with services relating to the Program, to communicate with Members, to status Members, to promote offers to Members, to fulfill Members´ requests including redemption orders and for identification purposes. It is optional for a Member to provide the above information; however, if a Member chooses not to do so, i-Express may not be able to fulfill the services mentioned above.

    From time to time, i-Express may ask for additional information, to help improve its services to Members, to create more opportunities for Members to enjoy the Program, to follow up with Members for feedback or to help prevent abuse of the Program. Also, i-Express may automatically collect other information about Members indirectly through its database such as customer profile and consumer behavior. Any customer information (including Members name and contact details) and consumer behavior but excluding information that relate to specific goods or services that a Member buys, may be used by i-Express to analyze Members´ activity on the Program. i-Express may also use that information, and share it with the Business Partners in order to facilitate various services to the Members, to extend Member benefits and special offers, and for marketing purposes including planning, product development, telemarketing promotions, research and other carefully screened marketing programs or activities, which i-Express and/or the Business Partners believe are likely to interest Members.

    Information regarding the specific goods or services a Member buys from a particular Partner will not be passed to i-Express or any other i-Express´ Business Partners save and except when and/or where it is so required for the company’s operations of the Program. A Partner with whom a Member uses his or her membership or take up an offer, may use information about the specific goods or services which the Member registers interest or purchases, to market to the Member or to update a database on which the Member already appears and will be entitled to do this even if the Member leaves the Program. Members can refer to the i-Express website at www.vttv.tv to view the i-Express Partners Listing (which for these purposes include all companies in the same legal group).

    Members shall ensure that all personal detail provided to i-Express is accurate at the point of submission and that i-Express is kept abreast and updated of any change in their personal details. If for any reason a Member believes that his or her personal information lodged with i-Express is inaccurate or if a Member would like to amend and reconfirm his or her personal information, they can edit via online at update profile.

    Members are also requested to take special care to keep their online password and security questions´ answer confidential and not disclose it to anyone else. i-Express is not responsible for any abuse of the online password. Should a Member believe that an unauthorized person has become aware of their password, the Member is obliged to change his/her online password immediately.

    As long as a Member remains in the Program and maintains his/her Membership with i-Express, their information will remain with i-Express. i-Express will take all practicable steps to ensure the security of the data at all times from any unauthorized access. i-Express will endeavor not to disclose any personally identifiable information to any organization unless necessary to operate the Program and/or if i-Express is legally required to do so by law. Members will be treated as having given permission for disclosures referred to in this policy.

  7. Disclaimer And Limitation of Liability
  8. THIS SITE AND ALL MATERIALS CONTAINED ON IT ARE PROVIDED, DISTRIBUTED AND TRANSMITTED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OF ANY KIND WHATSOEVER, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THE RIGHTS OF THIRD PARTIES. I-EXPRESS SHALL NOT BE RESPONSIBLE FOR, AND DOES NOT WARRANT THAT THE SITE WILL BE OPERATED FREE OF, FAILURES IN PERFORMANCE, DELAYS OR INTERRUPTIONS, INACURRACIES OR ERRORS IN MATERIALS, FACILITIES, GOODS, SERVICES, VIRUSES OR CONTAMINATION, OR OTHER ERRORS OR DEFECTS. THE MEMBER USE THIS SITE AT HIS/HER OWN RISK.

    i-Express shall not be liable to the member for any direct and incidental loss, cost, claim, liability, expenses, demands or damages whatsoever including, but not limited to, any loss of profits, or incidental or consequential damages arising out of the member’s failure or inability to use our facilities, purchase goods/or services via our online retail store (i-Mall).i-Express shall not be liable to the member for any loss or any damages sustained by reason of any disclosure, inadvertent or otherwise in any information concerning the member account particulars.

    i-Express shall use its best endeavors to ensure the continuity and efficiency of the facilities, purchase of goods and/or services at all times but shall not be liable for any loss, damage, consequential or otherwise, arising out of any failure of the facilities and/or services caused unless such default, error, omission or loss is due to the willful neglect of fault of the Company. Notwithstanding the aforementioned, the extent of the Company’s liability shall be limited to correcting the failure of the facilities and/or services only.

    The member shall be solely responsible for ensuring that in using the facilities, purchase goods and/or services all applicable laws, rules and regulations for the use of any telecommunication systems, service or equipment be at all times complied with and i-Express shall not be liable in any manner whatsoever for the same.

  9. Indemnification by The Member
  10. The member undertakes and agrees to indemnify, save and hold harmless to i-Express at all times against all actions, claims, proceedings, costs, losses and damages whatsoever including but not limited to libel, slander or infringement of copyright or other intellectual property rights or death, bodily injury or property damage howsoever arising which i-Express may sustain, incur or pay, or as the case may be, which may be brought or established against i-Express by any person including a company or corporation whomsoever arising out of or in connection with or by reason of the operation, provision or use of the facilities, purchase of goods and/or services pursuant to this Agreement and which are attributable to the act, omission or neglect of the member, his servants or agents.

  11. Collecting Fidelity Value (FV)
  12. Fidelity Value will be recorded in a Member's Account for purchases by the Member of qualifying goods or services from our online retail store/i-Mall. FV will be recorded in the Member's Account in relation to promotional and incentive programs. i-Express will from time to time determine which goods or services are qualifying goods and services and the number of value that will be recorded in a Member's Account for such purchases. i-Express and the Partners may from time to time offer exclusive promotions for specified groups of Members. Changes in Partners, the Points issuance rate and the offers, may be made without prior notification to Members.

    For a Member to be entitled to Points, the following shall apply: -

    1. FV cannot be redeemed until credited to the i-Express Account of the Member. FV will be recorded in the Member's Account right after the purchase transaction;
    2. A Partner may operate a no refund policy for their qualifying goods or services. A Member who has collected FV for such qualifying goods or services may not be eligible for any refund for the relevant transaction; and
    3. Disputes arising over the FV Summary must be notified to i-Express within one month from the date of the relevant item transacted, failing which all disputes and/or discrepancies shall be deemed to be accepted by the Member. Members are requested to provide supporting documents wherever and/or whenever applicable to assist i-Express to settle the dispute. The transaction history will otherwise be taken to be correct and binding on the Member. i-Express' decision on any such dispute is final and binding.

  13. Redeeming Gifts
  14. "Redeem"- Redemption

    "Redeem" is a redemption facility. 'Redeem' allows the redemption of Gifts by utilizing specified values of i-Express Points and paying the specified cash portion (if any) via credit cards (Visa & MasterCard), online payment or any other payment modes, which may be introduced by i-Express from time to time.

    Payment by credit card (Visa and MasterCard) is only available for "Redeem" redemption transactions over i-Express´ website or designated websites. i-Express shall not be responsible for any transactions declined by the approving bank. i-Express will not be held responsible for any fraud arising from the disclosure of details of the aforesaid credit card.

    Refunds for unfulfilled redemptions will be made directly to the Primary Member in the manner to be determined solely by i-Express on a case to case basis.

    Normal Redemptions

    Only Member with sufficient FV is eligible to redeem, and he/she may do so using the redemption methods implemented by i-Express which may varies from time to time. Redemption orders once accepted by i-Express cannot be revoked, cancelled, returned or exchanged, and the affected FV will not be reinstated.

    If redemption channels are specified for a Gift item, i-Express reserves the right to decline redemptions made through any other channels with or without any notification to the Member. i-Express shall not provide any representation or warranty with respect to any products and/or services featured in the Gifts Catalogue or other channels of redemption. In particular, i-Express shall not provide any warranty with respect to the quality of the Gifts or their suitability for any purpose. However, Members may liaise directly with the Supplier according to the warranty awarded.

    Other Redemption Channels

    i-Express may introduce other methods of redemption, which will be announced in our promotional literature from time to time. The means of communication may be via online or any other means of telecommunication used that will be introduce from time to time. —(Note : please state where will be the announcements —which web-site?)

  15. Delivery of the Redeemed Gifts
  16. i-Express will endeavor to deliver the redeemed Gifts to Members within the next fourteen (14) working days upon receiving the redemption request from the Member. Gifts will be posted or delivered (at i-Express´ option), to the current address of the Member shown in i-Express´ record or any other address as authorized by the Member. i-Express will not deliver to PO Box addresses. Member/recipient of Gift items is obliged to present ID documentation to the delivery staff, failing which the delivery staff has the right to refuse delivery and will return the Gift item to i-Express as unclaimed. Alternatively, delivery of Gifts will be made to the address as specified by the Member, or to the occupants at the delivery address, and where such address is an office, to any office staff, if the Member so chooses. Such acknowledgment of the aforesaid office staff shall be deemed to be the acknowledgment of the Member.

    All Gifts delivered do not include installation cost - any installation cost incurred will be borne by Members. i-Express does not generally impose separate delivery or courier charges but may impose appropriate delivery charges for the following reasons: -

    1. Delivery to East Malaysia; and/or
    2. Re-delivery of Gifts that have been returned as a result of being unclaimed; and/or
    3. Re-delivery of Gifts that have been returned under the following circumstances i.e. incomplete address, PO Box addresses, person has shifted, no such person or for any other failed delivery reasons; and/or
    4. All Gifts unclaimed after 7 days from our email notification to the member will be deemed as forfeited unless otherwise member pay for the subsequent delivery charges by either utilizing FV or credit card payment. FV used will not be reinstated. It is the Member's responsibility to contact i-Express if the Gift item has not been received after 21 days from the date of the Member’s request.

    All Gifts are subject to availability. Once redeemed, these Gifts cannot be revoked, cancelled, returned or exchanged, and Points will not be reinstated. i-Express reserves the right to adjust the FV required for redemption of Gifts, as well as replacing any Gifts with other item of approximate equivalent value without prior notice. i-Express reserves the right to refuse the redemption of any Gifts or recall the redeemed item if i-Express has any reason to suspect the FV were fraudulently accumulated by the Member or wrongly recorded.

    All Gifts are subject to such Terms & Conditions as are mentioned in the current Gifts schedule or in any other Terms & Conditions relating to the Gift, as determined by the Suppliers, including any ticket for airline travel. It is the Member's responsibility to satisfy any Terms & Conditions imposed by an airline or other Suppliers including advance booking requirements and any restrictions and/or fees payable in respect of the cancellation or alteration of tickets.

  17. Deduction of Fidelity Value
  18. The FV published for a Gift claimed by a Member will be deducted from the FV balance of the Member's Account.

    i-Express may also deduct from the FV balance in a Member's Account, given the following circumstances: -

    1. Any FV suspected to be fraudulently recorded; and/or
    2. Any FV recorded in error; and/or
    3. Any FV relating to a transaction which is cancelled.

    i-Express reserves the right to deduct any such FV as stated above without any further notification to the Member.

  19. Mobile Services
  20. After receiving Members' requests for any particular service via SMS, i-Express will send a response to their registered email or via SMS to the given mobile number. If the Members' data request via SMS is insufficient or incorrect or if i-Express for any other reason considers it necessary, i-Express has the right to decline to send a response without any notice to Member.

    i-Express shall not be liable in any way for failures, defects or delays in the delivery of a response for any reason whatsoever. The Member may be responsible for all charges incurred if the Member accidentally erases, replaces or deletes any of the responses by receiving another response or otherwise.

    By using the Mobile Services provided herein, the Member shall deemed to have fully read and understood and further agree to the terms and conditions as provided for in the i-Express online Service Policy.

  21. Termination of Agreement
  22. Without Prejudices to any rights or remedies of i-Express under this Agreement, i-Express may terminate the Member’s Membership of i-Express without any notice given to the Member and for any reason whatsoever as case maybe, including, but not limited to, if the Member fails to comply with these Terms & Conditions :

    1. Breached of any of the Terms of Use appearing herein;
    2. Supply any misleading information or makes any misrepresentations to i-Express; and/or
    3. Abuses any privileges accorded to the Member under the Program; and/or
    4. Engages in any fraudulent activities under the Program; and/or
    5. Is deceased or is declared a bankrupt; and/or
    6. Displays inappropriate behaviour against any member of i-Express staff; and/or
    7. Below eighteen (18) years of age;

    Such termination as hereinbefore mentioned in Membership Clause, shall not prejudice the right of i-Express to recover any other incidental damages incurred thereto.

    Any membership FV earned by the member to the Company pursuant to this Agreement shall not be refunded upon termination of the Agreement by i-Express.

    i-Express shall not be liable in any manner whatsoever to the Member for any claim for damages or costs of any nature whatsoever arising out of discontinuance of the facilities or services or termination of this Agreement in accordance with its terms including, but not limited to, any claim for loss of profits and/or prospective profits and/or for anticipated loss.

  23. General
  24. i-Express Virtual Membership Cards are not transferable and are the property of i-Express. Fidelity Value, and any rights they confer, cannot be sold, transferred, assigned or otherwise dealt with except in accordance with these Terms & Conditions. Points have no cash or monetary value.

    i-Express may change, at any time and without prior notice to the Member, the Gift offers and/or the Partners provided herein. i-Express may make these changes even if it have the effect of reducing or extinguishing the number or value of, or impose period of expiry of, any existing or future Points. i-Express may also change, at any time and without prior notice to the Member the qualifying goods and services and/or the number of Points, which Members will receive from purchasing goods and services via www.vttv.tv.

    A notice shall be deemed to be given by i-Express to a Member if it is posted to the address of the Member appearing in the i-Express records or published in the media or on i-Express´s website at www.vttv.tv.

    In the event where there is a discrepancy in communication to Members of the usage of Bahasa Malaysia or Mandarin languages, the English language version will prevail.

    i-Express is not liable under the following circumstances:-

    1. Any unauthorized use of Membership; and/or
    2. Any unauthorized redemption of FV; and/or
    3. Any unauthorized use of FV or unauthorized sale of FV; and/or
    4. Any loss, theft or damage to any Gift in the course of delivery; and/or
    5. Any Gift not being available for any reason; and/or
    6. The suspension and/or termination of the Program; and/or
    7. Any technical failure of system, including i-Express website and mobile short-messaging-service system which may impede a Member's transaction.

    i-Express reserves the right to suspend or terminate the i-Express virtual Loyalty Membership Program at any time without prior notice to the Member. i-Express reserves the right to assign or sell the Program to another company whereby i-Express shall or may transfer all rights and obligations under these Membership terms without any further consent from the Member and may disclose or transfer all information held pertaining and/or regarding to the Members to a prospective or actual new owner. Such a disclosure or transfer may not alter the rights of the Members in respect of the use that can be made of such information by such other company.

  25. Legal/ Choice Of Law And Jurisdiction
  26. These Terms shall be governed by, and construed in accordance with the Malaysian Law.

    If any provision herein contained should be invalid, illegal or unenforceable under any applicable law, such provision shall be fully severable and this Agreement shall be construed as if such illegal or invalid provision has never comprised a part of this Agreement and the legality and enforceability of the remaining provisions of this Agreement shall not be affected or impaired in any way.

    Alternatively, if any provision of these Terms of Use is held invalid or unenforceable in any respect by any court having competent jurisdiction, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of these Terms of Use shall continue in full force and effect. No waiver of any provision of these Terms of Use shall be deemed a further or continuing waiver of such provision or any other provision of these Terms of Use.

    These terms and conditions are binding upon the successors, executors, administrators, personal representatives and assign of the member and upon the substitute and assigns of the Company.

    No delay or indulgence by the Company in enforcing any term or condition of this Agreement or granting of time by the Company to the member shall prejudice the rights or powers of the Company under this Agreement or at law.

    Failure by the Company to exercise any part or all of its right under the terms and conditions of this Agreement or any partial exercise shall not act as a waiver of such right nor shall any waiver by the Company of any breach constitute a continuing waiver in respect of any subsequent or continuing breach.

  27. User Conduct and Obligations
  28. The Member agrees to follow all applicable laws and regulations when using this Site.

    Furthermore, the Member agrees that he/she shall not:

    a.  upload, post or otherwise transmit through or to this Site any content that: i. is unlawful, abusive, threatening, harmful, obscene, lewd, offensive, defamatory or otherwise objectionable; ii. infringes or violates the intellectual property rights, privacy rights, rights of publicity, or other proprietary rights of others; iii. contains any viruses, trojan horses, time bombs, or any other harmful programs or elements; b. disrupt, place unreasonable burdens or excessive loads on, interfere with or attempt to gain unauthorized access to any portion of our Site, its computer systems, servers or networks; c. provide false information about yourself to us, impersonate any other person, or otherwise attempt to mislead others about your identity or the origin of any content, message or other communication; d. transmit junk mail, chain letters, or other unsolicited bulk e-mail or duplicative messages; e. collect information about other visitors to our Site without their consent or otherwise systematically extract data or data fields, including without limitation any financial data or e-mail addresses; f. sell access to or the use of this Site, including any content contained on, downloaded or accessed from this Site; g. redistribute any content, including, but not limited to, financial data, provided by us in any manner whatsoever including by means of printed publication, fax broadcast, web pages, e-mail, web newsgroups or forums, or any other digital, electronicor paper-based service or method; or h. intentionally alter the format in which data is provided by us or otherwise circumvent our regular interfaces to such data.

i-Express Online Purchase
